Terms of Service

1. Agreement and account

These Terms form an agreement between you and Meric Technology OÜ, the Estonian company operating Vimugo. They cover our website, image generation, editing, upscaling and video tools. By using Vimugo, you accept these Terms. You must be at least 18 and legally able to enter this agreement. If you act for a business, you must have authority to bind it.

Each account is for one person. Provide accurate account and billing information, protect your sign-in and notify us of suspected unauthorized access. You are responsible for activity you authorize. Sharing, transferring or reselling accounts is prohibited, as is creating accounts to evade restrictions or obtain extra free credits.

2. Acceptable use

Use Vimugo lawfully and respect others' privacy, identity and intellectual property rights. Fraud, fabricated evidence, harmful deception, impersonation, false endorsements and unauthorized disclosure of personal information are prohibited. You must not create or distribute content that defames, humiliates, harasses, threatens or exploits others.

Nudity, sexual or sexually suggestive content, child abuse or exploitation, graphic violence and content contrary to generally accepted standards of decency are prohibited. This also applies to content promoting hatred, discriminatory violence, self-harm, animal cruelty, terrorism or other harmful acts. Do not attack or disrupt the service, gain unauthorized access or bypass safety checks and usage limits. These rules apply to prompts, uploads and outputs even when automated checks do not block them.

3. Content rights and commercial use

You are responsible for your prompts, uploads and use of outputs. Obtain the rights and permissions needed to process another person's image, personal information or protected work. You retain your existing content rights, and we do not claim ownership of your outputs. Personal and commercial use is permitted under these Terms, subject to applicable law and third-party rights. Generating an output does not grant rights to another person's identity, brand or copyrighted material.

You give us a non-exclusive permission to process, store and reproduce your content through our providers only as needed to deliver, secure and support Vimugo. Public display of outputs is permitted only when you enable Public gallery. Data handling is explained in our Privacy Policy. Vimugo's software, design and branding belong to us or our licensors. Your access permission is limited to use under these Terms and cannot be transferred. Copying, reselling or reverse engineering the service is prohibited except where legally permitted. This does not restrict permitted use of your outputs.

4. Subscriptions and credits

The Plans page describes features and credit allowances. Checkout shows the total price, including applicable taxes. Subscriptions renew monthly until canceled, with billing handled through Stripe. Confirming a subscription authorizes its recurring charges. Paid access and credits begin after payment is confirmed. Any separate seller or payment terms presented at checkout also apply to that transaction.

Each action's credit cost is shown before you start. Only successful generations use credits. Credits cannot be transferred or exchanged for cash. Free credits reset daily at 00:00 UTC. Paid credits refresh after successful renewal, when unused credits expire. An eligible upgrade charges the new plan's full monthly fee and begins a new billing month. Remaining valid paid credits carry into that period and expire at its next renewal. Downgrades during an active subscription are not available.

5. No refunds and cancellation

Subscription payments are final and non-refundable. We do not provide refunds for unused credits, unused subscription time, a change of mind or dissatisfaction with an otherwise functioning generation service. This policy does not limit mandatory withdrawal, refund or other consumer rights under applicable law.

To stop future charges, select Cancel subscription in Account settings and complete the confirmation before your next renewal. Cancellation takes effect at the end of the paid period, with remaining access and credits available until then. Stopping use of Vimugo does not cancel your subscription.

6. AI results and service availability

AI outputs may be inaccurate, unsuitable or similar to other users' results. We do not guarantee originality, exclusivity, legal clearance or a particular creative or commercial outcome. Review outputs before publishing or relying on them. They are not professional advice or proof that a depicted event occurred.

We provide the service with reasonable care but do not guarantee uninterrupted availability or a fixed generation time. Maintenance, safety checks and provider outages may affect delivery. Features and model providers may change as described below. Your gallery retains the latest 100 successful outputs, removing older files as new ones arrive. Download files you wish to keep. Vimugo is not a permanent backup service.

7. Restrictions and termination

We may reject requests, remove content, restrict features or suspend or terminate access when reasonably necessary to address breaches of these Terms, non-payment, fraud, security risks or legal requirements. Urgent risks may require immediate action. Measures will be proportionate, with an explanation where appropriate and legally permitted. Contact us to request review. Ending access does not erase lawfully owed payments or responsibility for earlier misuse. Content rights, liability and dispute provisions continue where their purpose requires it.

8. Liability

For customers acting in a business or professional capacity, to the extent permitted by law, we exclude liability for indirect or consequential losses, lost profits, revenue and business opportunities. Our total liability to those customers arising from the service is limited to the fees they paid for Vimugo in the 12 months before the event causing the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, or affects your mandatory consumer rights.

9. Indemnity

You agree to release, defend, indemnify and hold harmless Meric Technology OÜ, our subsidiaries, affiliates, agents, employees, officers, partners and/or licensors for any claims, damages, costs, liabilities and expenses of every kind and nature (including, but not limited to, reasonable attorneys' fees) arising out of or related to your use of Vimugo or your conduct in connection with the service, including your violations of these Terms or the rights of another person, your use or inability to use the service, your breach or alleged breach of these Terms or of any representation or warranty contained herein, or your use of generated images or videos in a way that violates another party's rights.

10. Updates and disputes

We may update the service and these Terms for product, operational, security or legal reasons. Price changes apply only to future renewals after advance notice. Changes do not remove rights from completed purchases. Mandatory rights concerning changes to an ongoing paid service remain unaffected.

Estonian law governs this agreement. Business disputes fall within the jurisdiction of the courts in Tallinn. Consumers retain mandatory local protections and court access. If a provision is unenforceable, the remaining provisions continue to apply.
